1. Introduction

These Terms and Conditions ("Agreement") govern your access to and use of the Ostooly platform and related services ("Services") provided by Supermile Technologies ("Supermile," "we," "us," or "our"). By registering for an account, accessing, or using the Services, you ("Delivery Service Provider," "DSP," or "you") confirm that you have read, understood, and agreed to be bound by this Agreement in its entirety. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must immediately cease all use of the Services.


2. Definitions

Authorized User means any individual authorized by the DSP to access the Services under the DSP's account, including but not limited to DSP owners, planners, operations managers, and administrative staff.

Business Partner (BP) means the merchant, restaurant, e-commerce business, or other entity that submits Orders for delivery fulfillment through the Supermile network.

Delivery means the physical transportation of Goods from a pickup location to a designated recipient.

Delivery Service Provider (DSP) means the fleet operator registered on the Ostooly platform to manage its workforce, fleet, and delivery operations.

Driver means any individual engaged by the DSP to perform deliveries or fleet operations. Drivers are engaged and managed by the DSP, not by Supermile.

Goods means the items included in an Order to be delivered to a Recipient.

Order means a delivery request submitted through the Supermile network and assigned to the DSP for fulfillment.

Platform means the Ostooly web application, mobile application, driver application, dashboard, and all related technology provided by Supermile.

Service Charges means the subscription fees and other charges payable by the DSP to Supermile for access to and use of the Platform, excluding delivery charges payable by BPs.

Third-Party Services means services provided by independent third-party providers that are accessible through or integrated with the Platform.


3. Nature of the Platform

3.1 Fleet Management Software

Supermile operates Ostooly as a software-as-a-service (SaaS) platform that provides fleet management, workforce management, operational, and financial tools for Delivery Service Providers. The Platform is a technology tool that assists DSPs in managing their own operations.

3.2 Not an Employer

Supermile is not the employer, co-employer, or joint employer of any Driver or any other personnel engaged by the DSP. The DSP is the sole employer of its Drivers and all other individuals it engages to perform delivery or operational activities. The employment relationship, including all rights, obligations, compensation, benefits, supervision, discipline, and termination, exists exclusively between the DSP and its personnel.

By way of example and without limitation: if a Driver is involved in a traffic accident during a delivery, files a labor complaint, sustains an injury on the job, causes damage to third-party property, or commits any unlawful act, the DSP bears full and sole responsibility. Supermile has no liability, responsibility, or obligation in respect of any such event, regardless of whether the Driver was using the Platform or a Supermile-provided application at the time of the event.

The DSP acknowledges and agrees that Supermile's provision of software tools, including driver applications, dispatch systems, tracking features, and shift management tools, does not create or imply any employment, agency, or supervisory relationship between Supermile and any Driver or DSP personnel.

3.3 Service Arrangements

The DSP may fulfill deliveries under one or more of the following arrangements:

(a) On-Demand Orders: Orders assigned to the DSP by Supermile's dispatch system from the aggregated demand pool. The DSP accepts and fulfills these Orders through the Platform.

(b) Dedicated Delivery via Supermile Contract: Supermile has contracted with a BP to provide dedicated delivery capacity. The DSP is assigned to fulfill deliveries under this arrangement. The DSP is fully liable for the performance of all deliveries assigned to it and indemnifies Supermile for any delivery failures, delays, damages, losses, or claims arising from the DSP's performance or non-performance, on a back-to-back basis with Supermile's obligations to the BP.

(c) Dedicated Delivery via DSP's Own Contract: The DSP has its own direct contractual arrangement with a BP. Supermile provides operational tools only and is not a party to the commercial agreement between the DSP and the BP.

3.4 DSP Liability

Regardless of the service arrangement, the DSP is fully liable for the execution, quality, and outcomes of all deliveries it performs or is assigned to perform. This includes, without limitation, liability for: late deliveries, failed deliveries, damaged or lost Goods, Driver misconduct, vehicle incidents, non-compliance with delivery instructions, and any claims by BPs, Recipients, or third parties arising from the DSP's operations. The DSP's liability under this Agreement is on a back-to-back basis with Supermile's commitments to BPs, meaning the DSP assumes all delivery-related obligations and liabilities that Supermile has toward BPs.

3.5 Delivery Provider Terms

Where the DSP fulfills Orders on behalf of BPs, the DSP acknowledges that its delivery operations may be subject to applicable terms of carriage, cancellation policies, refund policies, and service level requirements. The DSP is solely responsible for familiarizing itself with and complying with all applicable delivery terms and operational requirements.


4. Account Registration and Onboarding

4.1 Registration

To register on the Platform, you must provide accurate, complete, and current information as required during the registration process, which may include your commercial registration, transport licenses, insurance documentation, bank details, and such other information or documents as Supermile may require.

4.2 Approval

Supermile reserves the right to accept or reject any DSP registration application at its sole discretion and without obligation to disclose the reason for rejection.

4.3 Ongoing Obligations

You must maintain the accuracy of your registration information throughout your use of the Services and promptly update any information that changes. You must maintain all licenses, permits, insurance, and regulatory approvals required for your operations at all times.

4.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Supermile immediately of any unauthorized access to or use of your account.

4.5 Authorized Users

You may authorize additional users to access your account. You are fully responsible for the actions and omissions of all Authorized Users and ensure that they comply with this Agreement.

4.6 Employee Access

For the purposes of providing support, troubleshooting, and maintaining the quality of the Services, designated Supermile employees may access your account, including data stored within the Platform. This access is subject to internal audit and is limited to authorized personnel.


5. DSP Responsibilities

5.1 Delivery Performance

You are responsible for fulfilling all Orders assigned to you in a timely, professional, and lawful manner, in compliance with all applicable laws, regulations, and delivery instructions.

5.2 Compliance with Laws

You must comply with all applicable laws and regulations, including transport regulations, labor laws, insurance requirements, vehicle safety standards, and data protection laws, in connection with your operations and your use of the Services.

5.3 Driver Management

You are solely responsible for the recruitment, employment, training, supervision, compensation, discipline, and termination of your Drivers. You are responsible for ensuring that all Drivers hold valid licenses, permits, and authorizations required for the performance of delivery services. You are liable for all acts, omissions, and conduct of your Drivers.

5.4 Vehicle Compliance

You are solely responsible for ensuring that all vehicles used in your operations are properly registered, insured, maintained, and compliant with all applicable safety and regulatory standards.

5.5 Insurance

You must maintain adequate insurance coverage for your operations, fleet, and personnel as required by applicable law and as may be required by Supermile.


6. External Platform Integration

6.1 Connecting with External Platforms

The Platform may include features that retrieve, synchronize, or display data from external third-party platforms and systems on your behalf. You acknowledge and agree that:

(a) Data retrieved from external platforms is provided on an "as-is" basis. Supermile does not verify, validate, or guarantee the accuracy, completeness, timeliness, or reliability of any data obtained from external systems.

(b) You are the data controller for all data retrieved from external platforms on your behalf. You have instructed Supermile to retrieve such data, and Supermile acts as a data processor in performing this retrieval.

(c) You are solely responsible for verifying the accuracy of data retrieved from external platforms and for any decisions or actions you take based on such data.

(d) Supermile is not liable for any errors, omissions, discrepancies, or losses arising from the use of data obtained from external platforms.


7. Fees and Payment

7.1 Subscription Fees

Access to the Platform is subject to subscription fees as set forth in the applicable subscription tier or commercial agreement. All prices are in Saudi Riyals (SAR) unless otherwise specified and are exclusive of Value Added Tax (VAT), which shall be added at the applicable rate.

7.2 Non-Refundable Fees

All subscription fees are non-refundable once paid, regardless of the level of usage or early termination by the DSP.

7.3 Payment Terms

All fees are due and payable in accordance with the terms set forth in your commercial agreement or as invoiced by Supermile. Supermile reserves the right to suspend your access to the Services for any outstanding payments.

7.4 Auto-Renewal and Payment Failures

If your subscription is set to auto-renew and Supermile is unable to process payment through your registered payment method, Supermile shall notify you to allow you to resolve the matter. After three (3) consecutive unsuccessful payment attempts, Supermile reserves the right to suspend your access to the Services until payment is resolved.

7.5 Payment Corrections

Supermile reserves the right to correct any billing or payment errors, including errors made by payment processors, even if payment has already been processed or received. Corrections may be applied to future invoices, payment cycles, or payouts.

7.6 Fee Disputes

If you disagree with any fee, charge, or deduction applied to your account, you must submit a written dispute to Supermile within thirty (30) days of the date the charge or deduction was applied. Supermile shall review the dispute and notify you of its decision. Disputes submitted after this period shall not be reviewed, and the charges shall be deemed accepted.

7.7 Price Changes

Supermile reserves the right to modify its pricing. Changes shall be communicated to you with reasonable notice prior to taking effect. Continued use of the Services following the effective date constitutes acceptance.

7.8 Taxes

You are responsible for any applicable taxes, duties, or governmental charges arising in connection with your use of the Services, except for taxes on Supermile's net income. Invoices issued by Supermile comply with applicable tax regulations, including ZATCA e-invoicing requirements where applicable.


8. Financial Operations

8.1 Cash on Delivery (COD)

Where the Platform is used to manage cash-on-delivery operations, the DSP acknowledges that:

(a) Supermile may hold, process, and settle COD funds collected by the DSP's Drivers through the Platform.

(b) Supermile reserves the right to deduct from the DSP's COD balance or payout any amounts owed by the DSP to Supermile, including but not limited to: outstanding invoices, subscription fees, service charges, third-party service charges, penalties, and any other amounts due under this Agreement or any related commercial agreement.

(c) Supermile reserves the right to withhold or delay the release of COD funds where there is a pending dispute, investigation, suspected fraud, regulatory hold, or any unresolved financial matter between Supermile and the DSP.

8.2 Third-Party Service Charges

Where the DSP utilizes third-party services accessible through the Platform, including but not limited to fuel management, vehicle financing, insurance, and financial services, the applicable charges for such services may be deducted by Supermile from the DSP's payouts or invoiced separately. All contracts for third-party services are between the DSP and Supermile. The DSP acknowledges that the provision of third-party services through the Platform does not make Supermile the provider of such underlying services.


9. Use of Artificial Intelligence

Certain features of the Platform utilize artificial intelligence and machine learning technologies, including but not limited to operational analytics, approval workflows, dispatch optimization, workforce planning, and compliance monitoring. Decisions and outputs generated by these features are provided as recommendations and operational tools. Supermile does not guarantee the accuracy, completeness, or suitability of AI-generated outputs, and you acknowledge that human review and judgment may be necessary before acting on such outputs.


10. Communications

Supermile may communicate with you through various channels, including email, in-platform notifications, SMS, and messaging applications. Communications through these channels, including reports, operational summaries, analytics, and status updates, represent Supermile's best knowledge at the time of communication and do not constitute legally binding statements, warranties, certified reports, or regulatory filings. The DSP remains responsible for independently verifying any information received through these channels before relying upon it for any legal, regulatory, or financial purpose.


11. Intellectual Property

11.1 Supermile Ownership

All right, title, and interest in and to the Platform, including all software, technology, designs, documentation, trademarks, logos, and content, are and shall remain the exclusive property of Supermile.

11.2 License to Use

Subject to this Agreement, Supermile grants you a non-exclusive, non-transferable, revocable right to access and use the Platform solely for the purpose of managing your delivery and fleet operations.

11.3 Restrictions

You shall not, and shall not permit any third party to: (a) copy, modify, reverse-engineer, decompile, or disassemble any part of the Platform; (b) sublicense, resell, rent, or make the Platform available to any third party; (c) use the Platform to build a competitive product or service; (d) attempt to gain unauthorized access to the Platform or its underlying systems; or (e) use automated tools, bots, or scrapers to access or extract data from the Platform without prior written consent.

11.4 DSP Content

You retain ownership of all data, information, and content you provide through the Platform. You grant Supermile a non-exclusive, worldwide, royalty-free license to use such content solely to provide and improve the Services.

11.5 Aggregated Data

Supermile may create anonymized, aggregated data derived from your use of the Services that cannot identify you, any individual Driver, or any individual company. Such aggregated data is the property of Supermile and may be used for analytics, benchmarking, product improvement, and commercial purposes without restriction.


12. Marketing Reference

Supermile reserves the right to use your company name, trade name, and logo as a customer reference for marketing and promotional purposes on its website and other communications. If you wish to opt out of this right, you may do so by submitting a written request to Supermile at the contact details provided in this Agreement.


13. Data Protection

13.1 Data Processor Role

With respect to personal data of Drivers and other individuals whose data is stored or processed through the Platform on the DSP's behalf, Supermile acts as a data processor. The DSP is the data controller and is responsible for ensuring that it has a lawful basis for the collection, processing, and storage of such personal data, including obtaining all necessary consents.

13.2 Processing Instructions

Supermile processes personal data solely in accordance with the DSP's instructions as implemented through the Platform's features and configurations, and as necessary to provide the Services.

13.3 Security

Supermile implements appropriate technical and organizational measures to protect personal data against unauthorized access, loss, alteration, or destruction.

13.4 Data Subject Requests

If Supermile receives a request from a data subject (such as a Driver) regarding their personal data, Supermile shall promptly notify the DSP and assist the DSP in responding to such request, as the DSP is the data controller.

13.5 PDPL Compliance

Both parties shall comply with the Personal Data Protection Law (PDPL) of the Kingdom of Saudi Arabia and any implementing regulations, to the extent applicable to their respective roles and obligations under this Agreement.


14. Confidentiality

14.1 Obligations

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party except as necessary to perform obligations under this Agreement, to its employees or advisors bound by confidentiality obligations, or as required by law.

14.2 Exclusions

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without use of or reference to the disclosing party's confidential information.


15. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUPERMILE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

SUPERMILE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

SUPERMILE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA RETRIEVED FROM EXTERNAL PLATFORMS THROUGH THE PLATFORM'S INTEGRATION FEATURES.


16. Limitation of Liability

16.1 Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPERMILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR REPUTATIONAL DAMAGE, REGARDLESS OF THE THEORY OF LIABILITY.

16.2 Liability Cap

SUPERMILE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SERVICE CHARGES PAID BY THE DSP TO SUPERMILE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. FOR THE AVOIDANCE OF DOUBT, THIS CAP APPLIES TO SERVICE CHARGES ONLY AND DOES NOT INCLUDE DELIVERY CHARGES, COD AMOUNTS, THIRD-PARTY SERVICE CHARGES, OR ANY AMOUNTS HANDLED OR SETTLED ON THE DSP'S BEHALF.

16.3 No Liability for Delivery Outcomes

Supermile shall not be liable for any delivery failure, delay, loss, or damage arising from the DSP's operations, the acts or omissions of the DSP's Drivers, or any matter within the DSP's operational control.

16.4 Limitation Period

Any claim arising out of or in connection with this Agreement must be brought within twelve (12) months from the date the event giving rise to the claim first occurred. Any claim not brought within this period shall be deemed waived and permanently barred.


17. Indemnification

You agree to indemnify, defend, and hold harmless Supermile, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of this Agreement; (b) your violation of any applicable law or regulation; (c) any delivery failure, delay, damage, or loss caused by you or your Drivers; (d) any claim by a BP, Recipient, or third party arising from your operations; (e) any employment, labor, or workplace safety claim by any Driver or other personnel engaged by you; (f) any claim arising from the condition, operation, or use of your vehicles; (g) any claim arising from your use of data obtained through external platform integration features; or (h) any claim that your content or operations infringe the rights of a third party.


18. Term and Termination

18.1 Term

This Agreement commences upon your registration on the Platform and continues until terminated by either party in accordance with this section.

18.2 Termination by Either Party

Either party may terminate this Agreement by providing written notice to the other party in accordance with the terms of the applicable commercial agreement, or in the absence of such terms, with thirty (30) days' written notice.

18.3 Termination by Supermile

Supermile may suspend or terminate your account immediately, without prior notice, if: (a) you breach any provision of this Agreement; (b) you fail to pay any outstanding fees; (c) Supermile reasonably believes your operations or use of the Services poses a legal, safety, security, or operational risk; or (d) required by law or regulatory order.

18.4 Effect of Termination

Upon termination: (a) your right to access the Services ceases immediately; (b) you shall pay all outstanding fees and charges; (c) Supermile may retain any prepaid fees as non-refundable; (d) Supermile may hold any COD funds or other amounts pending resolution of outstanding obligations or disputes; (e) Supermile may deduct any amounts owed by the DSP from funds held before releasing the balance; and (f) Sections 3.2, 3.4, 11, 12, 13, 14, 16, 17, and 20 shall survive termination.

18.5 Data After Termination

Following termination, Supermile may retain your data for a reasonable period as required by applicable law or for legitimate business purposes. After such period, Supermile may delete your data without further notice.


19. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, epidemics, pandemics, government orders or restrictions, sanctions, embargoes, strikes, power failures, internet or telecommunications outages, or failures of third-party systems. The affected party shall notify the other party as soon as reasonably practicable.


20. Dispute Resolution and Governing Law

20.1 Governing Law

This Agreement is governed by and construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia.

20.2 Amicable Resolution

In the event of any dispute, the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date of written notice of the dispute.

20.3 Jurisdiction

If the dispute is not resolved through negotiation, it shall be submitted to the competent courts in Riyadh, Kingdom of Saudi Arabia, which shall have exclusive jurisdiction.

20.4 Legal Costs

In the event that Supermile is required to take legal action to enforce any provision of this Agreement or to recover amounts owed, Supermile shall be entitled to recover its reasonable legal costs and expenses, including attorney fees, from you.


21. Anti-Bribery and Anti-Corruption

Each party represents and warrants that it has not and will not, directly or indirectly, offer, pay, promise, or authorize any payment or benefit to any person for the purpose of obtaining or retaining business or any improper advantage in connection with this Agreement. Each party shall comply with all applicable anti-corruption and anti-bribery laws and regulations.


22. General Provisions

22.1 Entire Agreement

This Agreement, together with any applicable commercial agreement or order form, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.

22.2 Amendments

Supermile may amend this Agreement at any time by posting the revised terms on the Platform and notifying you via email or in-platform notification. Changes shall take effect thirty (30) days after notification unless you object in writing. Continued use of the Services after the effective date of any amendment constitutes acceptance.

22.3 Assignment

You may not assign or transfer this Agreement or any rights or obligations hereunder without Supermile's prior written consent. Supermile may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

22.4 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22.5 No Waiver

The failure of Supermile to exercise any right or enforce any provision shall not constitute a waiver of such right or provision.

22.6 No Partnership

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between Supermile and the DSP. The DSP shall not represent itself as an agent, partner, or representative of Supermile.

22.7 Language

This Agreement may be made available in both Arabic and English. In the event of any conflict or inconsistency between the Arabic and English versions, the Arabic version shall prevail.

22.8 Notices

All notices under this Agreement shall be sent to the email address associated with the party's account or as otherwise specified. Notices shall be deemed received upon confirmed delivery.
